What bGATE is

bGATE is community-driven and grounded in real assets — waste-to- energy plants, renewable fuels and green hydrogen pathways, and sustainable commodities — not a narrative detached from operations.

Phase 1 gives token holders and visitors a clear view of the business, partners, project focus, and roadmap. Live purchase and trading are not available yet.

Over time, the intention is to grow value in a sustainable manner and to pursue a path toward a registered stablecoin after MiCA and FCA approvals. Approvals, price, liquidity and returns are not guaranteed.

Two-layer architecture

Commerce and project financing stay separate.

bGATE separates a general ecosystem instrument from project financing instruments. They may share compatible technical infrastructure, but they have different issuers, rights, compliance rules, and economic purposes.

Ecosystem Token

Intended for payments, access, services, rewards, and ecosystem participation — not plant equity, project income, or promised yield by default.

Project-Specific RWA Security

Finances a defined asset through documented debt, equity, or revenue participation. Rights exist only as stated in offering and governing documents.

No automatic conversion between the ecosystem token and a project security. Any exchange must be a separately permitted transaction with pricing, identity, suitability, and legal controls.

Project qualification

Assets onboard through gated diligence — not marketing labels.

A project is not eligible merely because it can be described as green, innovative, or tokenizable. It must pass a review designed to expose the same weaknesses conventional lenders and infrastructure investors would examine.

Funding gate

Capital should be released against documented milestones — not solely against a token sale — with escrow or controlled accounts linked to title, delivery, installation, testing, permitting, insurance, and commissioning evidence.

Financing structures

Conventional rights, recorded digitally.

bGATE is intended to support multiple conventional financing forms in tokenized form. The token is the record and transfer mechanism; the underlying instrument determines the economics. No single form is endorsed for every project.

Secured equipment note

Scheduled principal and interest supported by collateral — key risks include recovery value, enforcement, and downtime.

Project debt

Contractual debt service from project cash flow — key risks include construction, ramp-up, coverage, and refinancing.

Project equity

Residual ownership, distributions, voting, and exit rights as documented — key risks include dilution, no distribution, and total loss.

Revenue participation

Defined percentage of specified revenues for a term or cap — key risks include revenue definition, margin pressure, and monitoring.

Issuer, rights, priority, collateral, dilution, distributions, term, and remedies must be selected project by project after legal, financial, technical, tax, and commercial review. Project-specific financial terms belong in separate offering documents.

Cash management

A written payment waterfall — not informal promises.

Each project should operate through a controlled bank account structure. Token holders should never depend on an informal promise that project revenue will later be allocated fairly.

Smart contracts may automate notices and calculations after verified cash is available, but should not transfer funds based solely on unverified production data. Revenue from one project must not imply support for another unless a documented portfolio structure expressly permits it.
